One scary omission--Form D

The information seems to be good, BUT there is one HUGE problem with it. On page 64, It mentions that a Form D must be e-file with the SEC, however, in chapter 5, which is supposed to step you through all you need to do to form a corp, there is no mention of Form D. I'd have missed it if the CA DBO site hadn't ask for an upload of it. Like the DBO site, the SEC also requires you to register for access (login information), but you have to jump through the extra hoops of printing out your application form and having it notarized, and then uploading that form as a PDF, HTML, or ASCII file (no image files allowed). I was lucky enough to be able to take care of those two things in one day, but I would have been very stuck if I didn't have a friend who was able to turn my JPEGS into a PDF file. It took two more days to get the login information (I was probably lucky about this speed too). It took those two days, and an extra one for me to parse through the language of the rules to select for exemption and the other language for filling out Form D. Now I'm unable to complete it because the site is only available during limited hours on weekdays. Considering that this form is required to be submitted within 15 days of issuing stock, relying on this book for helping you get everything done could get you in trouble.

I haven't read all of it but I like what I've read. Might be helpful if there is more information on professional corporation.
The writing is clear and simple. I use it as a guide book for my incorporation.
